Termes i descàrrega de responsabilitat dels llistat

Què és un llistat, qui proporciona la informació i com es comparteixen els detalls.

  1. What a listing is. Each listing is a short, anonymised summary of a regulated entity whose owners have told Financial Licensing Advisors they may consider selling a controlling or other interest. Listings are identified by code name only. A listing is not an offer to sell, an invitation to buy, or a valuation.
  2. Who provides the information. Listing information comes from the sellers or their advisers. Financial Licensing Advisors has not verified it unless the listing says “Verified by Financial Licensing Advisors” and gives the date and scope of that review. Even then, it is not an audit or a guarantee. Buyers must carry out their own legal, financial, tax, regulatory and technical due diligence.
  3. Indicative prices. Asking prices and figures are indicative, may exclude required capital, and may change or be withdrawn at any time. Listings may already be under offer or sold.
  4. Confidential details. The identity of an entity and its documents are shared only with qualified prospective buyers who have passed Financial Licensing Advisors’ KYC and sanctions checks, signed a non-disclosure agreement, and, where required, shown evidence of funds. Approaches to an entity, its staff, its regulator or its customers without Financial Licensing Advisors’ written consent are not permitted.
  5. Regulatory approval is required. A change of control of a licensed entity needs the prior approval of its regulator, which assesses the buyer’s reputation, financial soundness, source of funds, business plan and management. No sale can complete without it, and approval is never certain.
  6. Fees and conflicts of interest. Financial Licensing Advisors is paid for its services as set out in written agreements. Financial Licensing Advisors may act for more than one party only with their informed written consent.
  7. Who may list. Only the legal owners of a licensed entity, or advisers with their written mandate, may list it. Listers confirm that they are authorised to market the entity, that the information is accurate, and that listing does not breach any law, regulatory requirement or confidentiality duty, including rules on inside information where a listed company is involved. Financial Licensing Advisors may refuse or remove any listing.
  8. No sale of bank accounts or shell companies. Financial Licensing Advisors does not list or broker companies whose main value is an existing bank or payment account, or entities whose licence has been suspended or is under enforcement, unless that is fully disclosed and permitted by the regulator.
